1. Agreement to Terms

Welcome to Reputic. These Terms of Service (“Terms”) govern your access to and use of the Reputic website, mobile applications, and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

Reputic provides a platform for businesses to monitor, analyze, and improve their online reviews across various platforms. These Terms apply to all visitors, users, and others who access or use the Services.

2. Account Registration and Terms

To access certain features of the Services, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and your business.

Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify Reputic immediately of any unauthorized use of your account or any other breach of security.

User Requirements

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet all eligibility requirements we outline in these Terms.

Business Accounts

If you register an account for a business entity, you represent and warrant that you have the authority to bind that entity to these Terms and grant the permissions set forth herein.

3. Services and Subscription

Reputic offers various subscription plans for its Services. The features and limitations of each plan are described on our pricing page.

Free Trial

We may offer a free trial period for our Services. At the end of the trial period, you will be automatically charged for the subscription plan you selected unless you cancel before the trial ends.

Billing and Fees

You agree to pay all fees associated with your subscription plan. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

For subscription plans, we will automatically bill your payment method on a recurring basis according to your selected billing cycle (monthly or annually). You authorize us to charge your payment method for all fees incurred.

Subscription Changes and Cancellation

You may change or cancel your subscription at any time through your account settings or by contacting our customer support. If you cancel, you may continue to use the Services until the end of your current billing period, but you will not receive a refund for any fees already paid.

4. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to any part of the Services or any accounts, computer systems, or networks connected to the Services
• Use any automated means or interface not provided by us to access the Services or extract data
• Use the Services to send unsolicited communications, promotions, or advertisements, or spam
• Collect or harvest any information from the Services, including user accounts

Reputic reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including removing content, terminating accounts, and reporting violators to law enforcement authorities.

5. Intellectual Property Rights

The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by Reputic, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

License to Use

Subject to these Terms, Reputic grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes.

Restrictions

You may not:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services
• Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code for the Services
• Remove any copyright, trademark, or other proprietary notices from any portion of the Services
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission from Reputic

Your Content

You retain all rights to any content you submit, post, or display on or through the Services (“Your Content”). By submitting, posting, or displaying Your Content, you grant Reputic a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute Your Content for the purpose of providing and improving the Services.

6. Data and Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Services, you agree to our collection, use, and disclosure of information as described in our Privacy Policy.

Data Processing

In providing the Services, Reputic may process data related to your business, including reviews and customer feedback from third-party platforms. You represent and warrant that you have all necessary rights and permissions to allow Reputic to process this data on your behalf.

Data Security

We implement reasonable security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall Reputic, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing the Services during the twelve (12) months preceding the claim.

Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Reputic disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Reputic does not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

8. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
