1. Agreement to Terms

By accessing or using Reputic ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms.

2. Description of Service

Reputic is a review management platform that helps businesses:

Aggregate and monitor customer reviews from multiple platforms
Analyze review sentiment and trends using AI-powered insights
Generate AI-assisted reply suggestions for customer reviews
Track reputation metrics and performance over time
Receive notifications about new reviews

3. User Accounts

Account Creation

To use certain features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information
Maintain and update your information to keep it accurate
Maintain the security of your password and account
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use

Account Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

4. Subscriptions and Payments

Billing

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring basis (monthly or annually), depending on the plan you select.

Free Trial

We may offer a free trial period. At the end of the trial, you will be automatically charged unless you cancel before the trial ends.

Price Changes

We reserve the right to modify subscription fees. Any price changes will be communicated to you with at least 30 days' notice before taking effect.

Refunds

Except as required by law, subscription fees are non-refundable. You may cancel your subscription at any time, and you will continue to have access until the end of your current billing period.

5. Acceptable Use

You agree not to use the Service to:

Infringe upon the rights of others
Submit false, misleading, or fraudulent information
Upload or transmit malicious code or interfere with the Service
Attempt to gain unauthorized access to any part of the Service
Collect or harvest user data without permission
Use the Service to generate fake reviews or manipulate review platforms
Circumvent any rate limits or access restrictions
Resell or redistribute the Service without authorization

6. Intellectual Property

Our Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Reputic. The Service is protected by copyright, trademark, and other laws.

Your Content

You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

Review Data

Review data collected from third-party platforms remains subject to those platforms' terms of service. We do not claim ownership of reviews authored by your customers.

7. Third-Party Services

Our Service integrates with third-party platforms and services, including but not limited to:

Review platforms (Google, TripAdvisor, Booking.com, Yelp, etc.)
AI services for generating insights and reply suggestions
Payment processors for handling subscriptions

Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the content, privacy policies, or practices of third-party services.

8. AI-Generated Content

The Service provides AI-generated reply suggestions and insights. You acknowledge that:

AI-generated content is provided as suggestions only
You are responsible for reviewing and editing AI-generated content before use
We do not guarantee the accuracy, appropriateness, or suitability of AI-generated content
You should not rely solely on AI-generated content for important business decisions

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REPUTIC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of (or inability to access or use) the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content

11. Indemnification

You agree to defend, indemnify, and hold harmless Reputic and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the Netherlands.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reputic regarding the use of the Service and supersede all prior agreements and understandings.
